Welcome to SoloBoard. Please read these Terms of Service ("Terms") carefully before using our platform. By accessing or using SoloBoard (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Definitions
- "Service" refers to the SoloBoard platform, including all features, content, and functionality accessible through our website, applications, and APIs.
- "User," "you," or "your" refers to any individual or entity accessing or using the Service.
- "AI Advisors" or "Board Members" refers to the artificial intelligence-powered personas that provide guidance and advice through the Service. These are entirely fictional characters generated by AI.
- "Content" refers to all text, data, information, images, and other materials you submit to or generate through the Service.
- "Output" refers to any responses, advice, recommendations, or other content generated by the AI Advisors.
- "Third-Party AI Services" refers to the underlying artificial intelligence platforms and APIs (including but not limited to OpenAI, Anthropic, and Google) that power the AI Advisors.
- "Credits" refers to the usage units that govern your access to AI-powered features within the Service.
2. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Description of Service
3.1 Service Overview
SoloBoard is an AI-powered advisory platform designed to provide solo entrepreneurs and small business owners with strategic, financial, technical, and marketing guidance. The Service simulates board-level conversations using AI-generated personas ("AI Advisors") coordinated by our orchestration system.
3.2 Nature of the Service
YOU ACKNOWLEDGE AND AGREE THAT:
- The Service provides an interface to Third-Party AI Services that you could access directly from the respective AI providers;
- The Service adds value through automating AI interactions;
- Absent this Service, you would be interacting directly with the underlying AI providers to receive similar AI-generated advice;
- The underlying AI models are developed and maintained by third parties, not by SoloBoard;
- We do not control, and are not responsible for, the core capabilities, limitations, or outputs of the underlying AI models.
4. Third-Party AI Services
4.1 Use of Third-Party AI Providers
The Service utilizes AI models and APIs provided by third-party companies, including but not limited to OpenAI (GPT models), Anthropic (Claude models), and Google (Gemini models). Your use of the Service constitutes acceptance of the terms of service and acceptable use policies of these providers to the extent applicable to end users.
4.2 Third-Party Terms
When using features powered by Third-Party AI Services, you agree to comply with the usage policies of the applicable provider. We encourage you to review:

WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY AI SERVICE. WE HAVE NO CONTROL OVER THE AVAILABILITY, PERFORMANCE, OR OUTPUT OF THIRD-PARTY AI SERVICES AND ASSUME NO LIABILITY FOR ANY DISRUPTIONS, ERRORS, OR CHANGES TO THESE SERVICES.
5. AI-Generated Content and Advice Disclaimers
5.1 Nature of AI Advice
IMPORTANT:
THE SERVICE PROVIDES AI-GENERATED INFORMATION FOR GENERAL GUIDANCE PURPOSES ONLY. ALL OUTPUT FROM THE AI ADVISORS IS GENERATED BY ARTIFICIAL INTELLIGENCE AND:
- May contain errors, inaccuracies, or outdated information;
- Should not be relied upon as the sole basis for any business, financial, legal, tax, medical, or other professional decision;
- Does not constitute professional advice of any kind;
- Is not a substitute for consultation with qualified professionals;
- May not be appropriate for your specific circumstances.
5.2 Not Professional Advice
THE SERVICE DOES NOT PROVIDE AND IS NOT INTENDED TO PROVIDE:
- Legal Advice: The AI Advisors are not attorneys and cannot provide legal advice. Any legal-related Output is for informational purposes only and should not be relied upon without consultation with a licensed attorney in your jurisdiction.
- Financial or Investment Advice: The AI Advisors are not licensed financial advisors, certified public accountants, or investment professionals. Any financial-related Output should be verified by a qualified financial professional before acting upon it.
- Tax Advice: The AI Advisors cannot provide tax advice. Consult with a licensed tax professional or CPA for tax-related matters.
- Medical or Health Advice: The AI Advisors cannot provide medical diagnosis, treatment recommendations, or health advice.
- Any Other Licensed Professional Advice: For matters requiring professional licensing (engineering, architecture, etc.), consult appropriately licensed professionals.
5.3 User Responsibility

You acknowledge that business decisions inherently involve risk, and that acting upon any Output from the Service may result in financial loss, missed opportunities, legal issues, or other adverse consequences. SoloBoard shall not be liable for any losses or damages arising from your reliance on AI-generated Output.
6. Fictional Personas Disclaimer
6.1 AI Advisors Are Fictional
ALL AI ADVISORS AND BOARD MEMBER PERSONAS ARE ENTIRELY FICTIONAL.
They are created by artificial intelligence for the purpose of providing a structured advisory experience. The names, personalities, backgrounds, expertise areas, and all other characteristics of the AI Advisors are products of algorithmic generation and creative design.
6.2 No Resemblance Intended
Any resemblance to actual persons, living or dead, or to actual businesses, organizations, products, events, or locales is entirely coincidental and unintentional. The AI Advisors do not represent, endorse, or reflect the views of any real individual, company, or organization.
6.3 No Professional Relationship
Interacting with AI Advisors does not create any professional, fiduciary, advisory, attorney-client, or other special relationship between you and SoloBoard or any other party. The use of terms such as "board," "advisor," "CFO," "counsel," or similar titles is for illustrative purposes only and does not imply the formation of any formal relationship or the provision of services that would require professional licensing.
7. Account Registration and Security
7.1 Account Creation
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
7.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
7.3 Age Requirement
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
8. Subscription Plans and Credits
8.1 Pricing and Plans
The Service offers various subscription tiers with different credit allocations. Current pricing and credit allocations are displayed on our website and may be updated from time to time.
8.2 Credits
Credits are consumed when you use AI-powered features of the Service. Credit consumption rates vary based on the complexity of the AI model used and the length of interactions. Unused credits may expire at the end of your billing period unless otherwise specified in your subscription terms.
8.3 Billing
For paid subscriptions, you authorize us to charge your designated payment method on a recurring basis. You are responsible for keeping your payment information current.
8.4 Refunds
Refunds are provided at our sole discretion. Generally, fees are non-refundable except as required by law.

You shall not submit Content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any Content that violates these Terms.
10. Intellectual Property
10.1 Our Intellectual Property
The Service, including its design, features, functionality, and underlying technology (excluding Third-Party AI Services), is owned by SoloBoard and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
10.2 Your Content
You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a limited license to use, process, and transmit such Content solely for the purpose of providing the Service to you.
10.3 Output Ownership
Subject to these Terms and the rights of Third-Party AI Service providers, you may use Output generated through the Service for your personal or business purposes. However, you acknowledge that similar or identical Output may be generated for other users, and no exclusive rights to Output are granted.
11. Third-Party Integrations
The Service may integrate with third-party services such as cloud storage providers (e.g., Google Drive, OneDrive). Your use of these integrations is subject to the terms and privacy policies of those third-party services. We are not responsible for the availability, security, or practices of third-party services.
12. Disclaimers and Limitation of Liability
12.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT: THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; THE QUALITY OF ANY ADVICE, INFORMATION, OR OTHER OUTPUT WILL MEET YOUR EXPECTATIONS; OR ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
12.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLOBOARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; ANY OUTPUT OBTAINED FROM THE SERVICE; UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; BUSINESS DECISIONS MADE BASED ON AI-GENERATED ADVICE; OR ANY OTHER MATTER RELATING TO THE SERVICE.
12.3 Cap on Liability
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
12.4 Basis of the Bargain
You acknowledge that the limitations of liability and disclaimers in these Terms are essential elements of the bargain between you and SoloBoard, and that we would not offer the Service without such limitations.
13. Indemnification
You agree to indemnify, defend, and hold harmless SoloBoard and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your violation of these Terms; your violation of any applicable law or regulation; your Content; your violation of any third-party rights; or any business decisions you make based on Output from the Service.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting us or using the account management features in the Service.
14.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms.
14.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
15. Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.
15.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or in the courts of Utah/Utah County, as permitted by applicable law.
15.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE ACTION AGAINST SOLOBOARD.
16. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SoloBoard regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent.
